Moorfield exits The Capital Pub Company Plc

Moorfield Real Estate Fund II (MREF II) has sold its 11.4% stake in The Capital Pub Company Plc (“Capital”) for 235p per share to Greene King Plc (“Greene King”) pursuant to their takeover offer.

As the major shareholder outside of management, MREF II invested £3.1m in Capital between December 2009 and January 2011 through share purchases, discounted placings and rights issues at an average weighted price of 101p per share.

Capital’s share price grew substantially through MREF II’s investment period, significantly outperforming Capital’s listed peers, culminating in a successful takeover by Green King.

Marc Gilbard, Chief Executive of Moorfield said, “One of our investment themes for MREF II was to gain exposure to the attractive central London freehold pub sector. We are delighted that Capital performed robustly throughout MREF II’s investment, growing EBITDA at an annualised rate of 19% through organic growth and selective acquisitions. ”

Prior to being taken over in August 2011, The Capital Pub Company Plc was London’s largest independent free-house pub operator with a high quality, predominantly freehold estate of 35 pubs.

Moorfield invested on behalf of the Moorfield Real Estate Fund II (MREF II), a geared fund which raised approximately £400m of private equity on closing at the end of 2007.
